Terms & Conditions

Effective Date:

1. Introduction

These Terms and Conditions govern the relationship between Broad Dynamics On Demand Logistics Co. (“the Company”) and its logistics partners (“Partners”), including drivers, vehicle owners, and subcontractors. By accepting delivery assignments, Partners agree to be bound by these Terms.

2. Nature of Business

The Company operates as a logistics coordination platform connecting clients with independent transport partners for the delivery of goods.

3. Commission Structure

  • The Company shall charge a 15% commission on the total delivery amount for each completed job.
  • Commission is calculated based on the full agreed delivery price charged to the client.
  • The commission is deducted after successful delivery and confirmation of payment.
  • 4. Taxation

  • A 16% Value Added Tax (VAT) shall be applied to the total delivery amount payable by the client, in accordance with applicable Kenyan tax laws.
  • VAT is separate from the Company’s commission.
  • 5. Payment Terms

  • Payments will be processed after:
  • Successful delivery
  • Submission of valid Proof of Delivery (POD)
  • Full payment received from the client
  • 6. Proof of Delivery (POD)

    Partners must provide:

  • Signed delivery notes
  • Photo evidence (where applicable)
  • Client confirmation
  • 7. Partner Responsibilities

    Partners shall:

  • Ensure safe, secure, and timely delivery of goods
  • Maintain roadworthy vehicles and valid documentation
  • Communicate delays or incidents promptly
  • Uphold professionalism with clients
  • 8. Liability

  • Partners are fully responsible for any loss, theft, or damage to goods while in transit.
  • The Company acts only as a facilitator and shall not be held liable for cargo-related losses unless caused by its direct negligence.
  • 9. Cancellations

  • Unjustified cancellation by a Partner after job acceptance may attract penalties or reduced job allocation.
  • Client cancellations after dispatch will be handled on a case-by-case basis.
  • 10. Non-Circumvention

    Partners shall not:

  • Bypass the Company to transact directly with clients
  • Engage in side agreements that avoid commission payment
  • Violation may lead to immediate termination.

    11. Confidentiality

    All operational, client, and pricing information must remain confidential.

    12. Termination

    The Company reserves the right to suspend or terminate any Partner for breach, misconduct, or repeated service failures.

    13. Dispute Resolution

    Disputes shall be resolved amicably or under the laws of Kenya.

    14. Amendments

    The Company reserves the right to modify these Terms with notice.

    15. Acceptance

    By accepting delivery assignments, the Partner confirms acceptance of these Terms.
